1. Introduction & Definitions

Welcome to MYSOFT ("we," "us," "our," or "Company"). These Terms and Conditions ("Terms," "Agreement") govern your access to and use of our cloud-based software platform and services, including but not limited to our Payroll Management, Appointment Scheduling, and Accounting applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Definitions:

  • "User," "you," or "your" refers to any individual or entity that accesses or uses our Services.
  • "Account" refers to your registered account with MYSOFT.
  • "Subscription" refers to the paid access plan you select to use our Services.
  • "User Data" refers to any data, information, or content that you upload, submit, or store through our Services.
  • "Platform" refers to our cloud-based software infrastructure and all associated applications.

2. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through other reasonable means. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

3. Description of Services

MYSOFT provides a comprehensive cloud-based platform offering multiple business management applications:

  • Payroll Management Application: Tools for managing employee payroll, salary calculations, tax deductions, and related financial records.
  • Appointment Scheduling Application: Features for scheduling, managing, and tracking appointments, meetings, and events.
  • Accounting Application: Financial management tools including bookkeeping, invoicing, expense tracking, and financial reporting.

We may, from time to time, add new features, applications, or services to our Platform. Such additions shall be subject to these Terms unless otherwise specified.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice, for any reason, including but not limited to maintenance, updates, or business decisions.

4. Subscription Terms

Our Services are provided on a subscription basis. To access and use our Services, you must subscribe to one of our available subscription plans ("Subscription Plan").

Subscription Plans: We offer various subscription tiers with different features, usage limits, and pricing. The specific features and limitations of each plan are detailed on our website and may be updated from time to time.

Billing Cycles: Subscriptions are billed on a recurring basis (monthly or annually, as selected by you) and will automatically renew unless cancelled in accordance with these Terms.

Auto-Renewal: Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for the same duration and at the then-current price. You authorize us to charge your payment method for the renewal period.

Account Access: Your subscription provides access to the Services for the duration of your active subscription period. Access to your account and data may be restricted or terminated upon expiration or cancellation of your subscription, subject to the terms of Section 9 (Termination).

5. Pricing and Payment

Subscription Fees: You agree to pay all fees associated with your selected Subscription Plan. All fees are stated in the currency specified at the time of purchase and are exclusive of applicable taxes, duties, or government charges.

Payment Methods: We accept payment through credit cards, debit cards, and other payment methods as specified on our website. You agree to provide accurate and complete payment information and authorize us to charge your payment method for all fees.

Right to Adjust Pricing: We reserve the right, at our sole discretion, to modify, adjust, or change our subscription pricing at any time. Price changes may apply to new subscriptions immediately and to existing subscriptions upon renewal of the subscription period.

Notice of Price Changes: We will provide reasonable notice (at least 30 days) of any price increases that will affect your existing subscription. Notice may be provided via email, through your account dashboard, or by posting on our website. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

Payment Failure: If payment fails or is declined, we may suspend or terminate your access to the Services until payment is successfully processed. You remain responsible for any unpaid fees.

Refunds: Subscription fees are generally non-refundable. However, we may, at our sole discretion, provide refunds or credits in exceptional circumstances. Refund requests must be submitted within 14 days of the charge date and are subject to our review and approval.

6. Data Rights and Access

Data Ownership: You retain ownership of all User Data that you upload, submit, or store through our Services. However, by using our Services, you grant us certain rights as described below.

Our Right to Access and Retain Data: We reserve the right to access, retain, and use all User Data stored on our Platform for the following purposes:

  • To provide, maintain, and improve our Services
  • To ensure the security, integrity, and proper functioning of our Platform
  • To comply with legal obligations, court orders, or government requests
  • To prevent fraud, abuse, or illegal activities
  • To enforce these Terms and protect our rights and interests
  • To perform data analytics, research, and development (in anonymized or aggregated form where applicable)
  • To provide customer support and resolve technical issues

Data Retention: We may retain your User Data for as long as necessary to fulfill the purposes outlined in these Terms, comply with legal obligations, resolve disputes, and enforce our agreements. Even after termination of your account or subscription, we may retain certain data as required by law or for legitimate business purposes.

Data Security: We implement industry-standard security measures to protect your User Data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

Data Backup and Recovery: While we make reasonable efforts to maintain data backups, you are responsible for maintaining your own backups of critical data. We are not liable for any loss of data due to system failures, security breaches, or other causes beyond our reasonable control.

7. User Obligations

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password for your account
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with third parties
  • Log out of your account when using shared or public devices

Acceptable Use: You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or store malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Use automated systems (bots, scrapers) to access our Services without permission
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use our Services to compete with us or to build competing products

Data Accuracy: You are responsible for ensuring that all User Data you provide is accurate, complete, and up-to-date. You acknowledge that inaccurate or incomplete data may affect the functionality of our Services and that we are not responsible for any consequences resulting from inaccurate data.

Compliance: You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations in your jurisdiction, including but not limited to data protection, employment, tax, and financial regulations.

8. Intellectual Property

Platform Ownership: All rights, title, and interest in and to our Platform, Services, software, technology, and related intellectual property are and shall remain the exclusive property of MYSOFT and our licensors. Our Services are protected by copyright, trademark, patent, and other intellectual property laws.

License Grant: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes during your active subscription period.

User Content: You retain ownership of your User Data. By uploading or submitting User Data to our Platform, you grant us a worldwide, royalty-free, non-exclusive license to use, store, reproduce, modify, and display such User Data solely for the purpose of providing and improving our Services, as described in Section 6 (Data Rights and Access).

Restrictions: You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on our Services or any part thereof, except as expressly permitted by these Terms or with our prior written consent.

9. Termination

Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the Services until that time.

Termination by Us: We reserve the right to suspend or terminate your account and access to our Services immediately, without prior notice, if:

  • You breach any provision of these Terms
  • You fail to pay any fees when due
  • You engage in fraudulent, illegal, or harmful activities
  • We are required to do so by law or court order
  • We discontinue the Services or your Subscription Plan

Effect of Termination: Upon termination:

  • Your right to access and use the Services will immediately cease
  • You will not be entitled to any refund of fees paid, except as required by law
  • We may delete or restrict access to your User Data, subject to our data retention policies
  • All provisions of these Terms that by their nature should survive termination will survive

Data Export: Prior to termination, you may export your User Data through available export features in our Services. We recommend exporting your data before cancelling your subscription. We are not obligated to retain or provide access to your data after termination.

10. Limitation of Liability

Service Availability: While we strive to provide reliable and uninterrupted Services, we do not guarantee that our Services will be available 100% of the time. Our Services may be unavailable due to scheduled maintenance, system updates, technical issues, or circumstances beyond our reasonable control. We are not liable for any loss or damage resulting from Service unavailability.

Disclaimer of Warranties: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYSOFT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

Maximum Liability: OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification: You agree to indemnify, defend, and hold harmless MYSOFT and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of our Services, violation of these Terms, or infringement of any rights of another party.

11. General Provisions

Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in [Your Jurisdiction].

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of MYSOFT.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services.
